These Terms of Use and End-User License Agreement ("Terms") are a legal agreement between you and Film Buddy LLC ("Film Buddy," "we," "us," or "our"), for the Film Buddy iPhone and macOS applications, the shared Film Buddy account, Buddy Log synchronization, first-party documentation, optional in-app purchases, and related support (collectively, the "App").

Read these Terms before acquiring or using the App. By downloading, installing, or using the App, or by affirmatively accepting these Terms where that option is provided, you agree to them. If you use the App for an organization, you represent that you have authority to bind it. If you do not agree, do not use the App.

Nothing in these Terms limits rights that cannot lawfully be limited, including mandatory consumer rights in your country.

1. Eligibility

You must be legally capable of entering this agreement. If you have not reached the age of legal majority where you live, a parent or legal guardian must review and accept these Terms for you. The App is a general-audience creative tool and is not directed to children under 13.

2. License

Subject to these Terms and any purchase rules that apply, Film Buddy grants you a limited, non-exclusive, non-transferable license, terminable as provided in Section 14, to install and use the object-code version of the App on Apple-branded Products that you own or control for personal or internal business purposes. App Store Family Sharing and volume purchasing, and access by an eligible Legacy Contact, may be used when permitted by Apple's Usage Rules.

The App is licensed, not sold. Except for third-party components governed by their own licenses, Film Buddy and its licensors retain all rights in the App, software, interface, documentation, branding, and related intellectual property.

You may not, except where applicable law or an open-source license expressly permits it:

• copy, redistribute, rent, lease, sublicense, sell, or commercially host the App;
• modify, defeat security features, create derivative works from, decompile, disassemble, or reverse engineer the App;
• use the App to violate law, privacy, publicity, copyright, trademark, trade secret, contractual, or other rights; or
• use the App to introduce malicious code, interfere with systems, or evade technical restrictions.

These restrictions do not override legally protected interoperability, security-research, repair, reverse-engineering, or open-source rights.

Mac beta account, entitlement, and two-seat access

The gated Mac app requires a Film Buddy account, an approved beta entitlement, and a current server seat. You are responsible for providing accurate account information, protecting your password and devices, and notifying us if you believe an account, code, device, or session has been compromised. A valid email/password session authenticates the account but does not itself establish approval or seat access; an entitlement may be pending, approved, revoked, missing, or otherwise ineligible.

The Film Buddy server may authorize no more than two current Mac seat assignments for an approved beta account. The iPhone app, Buddy Log, Film Buddy account website, and the act of downloading an updated Mac beta do not consume a seat. Administrator accounts are not exempt from the Mac server limit. A current Mac installation and authenticated Auth session must hold one of the account's two Mac server seats before the gated Mac app unlocks.

Anyone may create a Film Buddy ID and confirm the email address while registration is available. Creating an account does not submit a beta application, place the account in a review queue, or guarantee access. A pending account may redeem an unused, administrator-issued, single-use Film Buddy beta access code. A code may be restricted to an email address, expire, or be revoked before use and does not guarantee continuing access. Existing approved beta accounts will not lose their approved entitlement merely because the seat system is introduced; they remain eligible to claim either seat, subject to these Terms, technical compatibility, security measures, and the beta program's continuing availability.

Film Buddy provides controls to review, rename, disable, re-enable, archive, restore, switch, or replace saved installations and seats. You may use those controls when replacing, losing, selling, reinstalling, or no longer using a device. A seat is an access-control assignment, not ownership of a device record or a promise that a particular device will remain active. You must not bypass, falsify, interfere with, or evade the seat, code, session, or other access controls, except to the extent applicable law expressly protects interoperability, security research, repair, or reverse engineering.

An Internet connection is required for the first successful account-and-seat check. A current seat may then be cached for the same account, installation, Auth session, device, assignment, and assignment generation under a seven-day (168-hour) offline lease. The app reevaluates cached access on lifecycle and gated-access events. The server makes a disabled or replaced seat available immediately, but an already offline installation may temporarily continue using its cached lease. Local app use can therefore temporarily overlap the account's two current server assignments until the offline installation reconnects or its seven-day (168-hour) lease expires.

Film Buddy may require an online check or compatible Mac update before access continues and may retire a legacy entitlement endpoint after a seat-aware version is made available. We do not promise perfect remote enforcement on a device whose owner controls the operating system, local storage, executable, clock, and network connection while it remains offline, or that account, entitlement, seat, network, or authentication services will be available without interruption.

The existing local Mac library is bound to the first approved Film Buddy account used by that macOS user. A different Film Buddy account does not automatically receive, claim, merge, or gain access to the library. This binding is not cloud sync: photographs, filenames and paths, recipes, ratings, edits, exports, diagnostics, and editor usage activity remain local unless you separately choose to share a file.

On sign-out, Film Buddy first asks the server to deactivate the seat bound to the current authenticated session and then removes the local session and cached seat lease even if the request cannot be confirmed. If server-side release is not confirmed, the account website remains available to disable or replace the seat. Signing out does not sign out other devices, delete the online account, delete or unbind the local library, remove local files or backups, delete the installation, seat, or audit history, or terminate these Terms.

Account-free iPhone Meter

The reflected-light Meter is available without a Film Buddy account. It uses the iPhone camera and user-selected settings to estimate reflected light and suggest an exposure. Camera permission is required for live metering.

The Meter is not an incident meter, laboratory-calibrated instrument, safety device, or guarantee of exposure. Camera hardware, scene reflectance, metering point, device processing, calibration, film, lens, development, scanning, and user choices can affect results. Film Buddy supports a device-specific calibration offset. Test your own workflow and bracket or use a trusted meter when a missed exposure could cause significant loss.

Film Buddy's recorded field validation found the tested iPhone Meter readings within one stop of two professional-grade light meters under the tested conditions. That limited field evidence is not a promise that every device, scene, or technique will produce the same accuracy.

Optional iPhone Account and Buddy Log

Buddy Log and Account are optional account-backed features. Anyone may create a Film Buddy ID at filmbuddyapp.com and confirm the email address while registration is available. New accounts are not beta applications. Every signed-in Film Buddy account can use Buddy Log, regardless of whether Mac beta access is pending, approved, or revoked. A beta access code affects only Mac downloads and the gated Mac app. The iPhone app never claims or consumes a Mac seat.

An Internet connection and valid account session are required to synchronize Buddy Log. Local Buddy Log entries remain available offline for the signed-in account, and the account-free Meter remains available without signing in.

3. Your photographs and exports

You retain your rights in photographs, metadata, edits, recipes, and exports that you create or process. Film Buddy does not claim ownership of them. The App processes them locally and does not require a license to upload them to a Film Buddy service.

You are responsible for having the rights and permissions needed to possess, process, edit, export, and share your source material and for complying with privacy, publicity, intellectual-property, archival, employment, and client obligations that apply to it.

4. Local storage, backups, and deletion

The App references originals at locations you choose and maintains a local catalog, recipes, previews, decoded working files, caches, logs, and other data. You are responsible for maintaining reliable backups of originals, the Film Buddy library, important recipes, exports, and sidecars.

Film Buddy's Trash is not immediate erasure. Removing an item from the library does not delete its referenced original, and clearing a cache does not erase the whole library. Uninstalling the App may leave Application Support files and preferences behind. Review the Local Data & Diagnostics Guide before deleting or moving files manually.

On iPhone, Buddy Log is an optional offline-first roll and frame notebook. It writes to SwiftData before attempting cloud transfer. Network or synchronization failure must not erase local log data, although no local or cloud storage system can be guaranteed against every interruption, conflict, corruption, loss, or unavailability. Private cloud rows are ownership-scoped with authenticated-user row-level security. Signing out locks Buddy Log and removes the iPhone session but does not delete the online account or local log.

Users retain their rights in roll information, frame notes, tags, gear details, development notes, and other Buddy Log content. They grant Film Buddy only the rights necessary to host, process, synchronize, back up, secure, and return that content as part of the requested service. Users must have the rights and permissions needed for information they enter or share.

5. Exports, color, and professional use

Film Buddy verifies certain technical export properties, including supported format, dimensions, bit depth, and ICC profile. Results can still vary with the source, film stock, scanner or camera, lens, capture conditions, display, calibration, operating system, printer, lab, paper, profile, settings, and other equipment or software.

Keep originals and independently validate critical results. Unless we expressly agree in writing, the App and its outputs are not certified as archival, forensic, evidentiary, medical, safety-critical, or suitable for a specialized regulated purpose. The App is not designed for high-risk environments where a failure could cause death, injury, severe property loss, or environmental harm.

Optional sidecars contain source paths, hashes, recipe data, and export history. You are responsible for reviewing or disabling them before sharing.

6. Camera tethering and camera-SDK terms

Direct camera control is optional and must be used only with supported devices, in their normal intended operation, and in accordance with the camera maker's terms and instructions.

Before using direct control of a supported Sony camera, you acknowledge and consent that:

• once a device is used or controlled through the App, the device will be outside the applicable manufacturer warranty as separately specified by Sony;
• Sony does not own, license, create, develop, sponsor, or provide support for Film Buddy; Film Buddy alone is responsible for App support;
• you will not use the bundled camera software, the App, or a connected device to design, develop, manufacture, customize, use, install, inspect, store, or transport arms, explosives, chemical or biological weapons, or other items prohibited by the camera SDK terms; and
• you will not use or transfer them for prohibited military activities, including intelligence, surveillance, or reconnaissance, or to a person you know intends such use.

Before using direct control of a supported Nikon camera, you acknowledge and agree that:

• Nikon Corporation and its licensors retain all ownership rights in the Nikon camera SDK and related materials;
• you will not use or copy those components except as permitted through the App, or modify, reverse engineer, decrypt, decompile, disassemble, or create derivative works from them;
• the restrictions on use, warranty disclaimers, and limitations of liability in these Terms that apply to those components are intended for Nikon's benefit, and Nikon is a third-party beneficiary entitled to enforce them; and
• Nikon does not own, create, develop, sponsor, or provide support for Film Buddy; Film Buddy alone is responsible for App support.

Before using direct control of a supported Canon camera, you acknowledge and agree that:

• the Canon camera software may be used only with a compatible Canon-branded product and only in North America, South America, or the Caribbean;
• Canon and its licensors retain all ownership rights in the Canon camera software and related materials;
• you will not assign, sublicense, rent, lease, reproduce, distribute, convey, transfer, modify, translate, decompile, reverse engineer, disassemble, or create derivative works from the Canon camera software, except to the extent applicable law expressly permits an activity despite this restriction;
• the Canon camera software is provided AS IS. Canon, its parent, subsidiaries, affiliates, distributors, and dealers provide no warranty, maintenance, update, fix, or support for it, including any implied warranty of merchantability or fitness for a particular purpose, and they are not liable for lost revenue or profits or for special, incidental, consequential, or other damages arising from its use, misuse, or inability to be used;
• Canon does not own, create, develop, sponsor, or provide support for Film Buddy; Film Buddy alone selects and maintains the App and is responsible for App support; and
• you will comply with applicable United States export controls and will not export, re-export, download, use, or transfer the Canon camera software to an embargoed destination or prohibited or restricted person.

Canon RESTRICTED RIGHTS notice: The Canon camera software is provided with RESTRICTED RIGHTS. U.S. Government use, duplication, or disclosure is subject to the applicable restrictions in 48 CFR 252.227-7013 and 48 CFR 52.227-19. The contractor/manufacturer is Canon U.S.A., Inc., One Canon Park, Melville, New York 11747.

Do not select "Agree" in the camera notice or use direct camera control if you do not consent. USB or local-network availability can be interrupted and is not guaranteed. You are responsible for securing your local network and connected equipment and for following applicable export and sanctions laws.

7. Privacy

The Film Buddy App Privacy Policy and Local Data & Diagnostics Guide explain the App's account authentication, Mac beta code and installation, Auth-session binding, two-Mac-seat access checks, device-only Mac Keychain session and installation identity, seven-day (168-hour) Mac cached seat lease and temporary offline overlap, seat and audit history, local-library binding, local processing, diagnostics, optional camera communication, exports, support information, retention, and deletion. They are available offline under Film Buddy > Legal & Privacy and online at https://filmbuddyapp.com/privacy.

On iPhone, the Policy also explains local camera-preview processing, Keychain session storage, SwiftData, Buddy Log synchronization, catalog queries, permissions, App Store providers and purchases, retention, and account deletion. The current mobile App does not request Location Services or transmit its reserved latitude or longitude fields, and it has no advertising SDK, cross-app tracking, third-party analytics SDK, or automatic crash-reporting SDK.

8. Third-party software and services

The App includes Apple frameworks and third-party or open-source components. Those components may be governed by separate notices and license terms, which control where they conflict with these Terms. See Third-Party Notices in the App. You must comply with applicable third-party terms when using connected hardware, operating-system services, the App Store, or other software.

Film Buddy uses Supabase as authentication, database, and beta access-control infrastructure. Supabase processes the email address and password submitted for sign-in, session tokens, limited account profile and entitlement information, Mac installation and reported device information, Mac seat assignments, failed-code attempt windows, access-control audit events, and related connection and authentication-log data as described in the Privacy Policy. Supabase does not receive the local photo library through this account-access feature.

Third-party products and services may change, fail, or become unavailable. Film Buddy does not control them and is not responsible for third-party terms, content, security, support, or availability, except to the extent the law says otherwise.

9. Updates, compatibility, and beta features

We may provide updates, compatibility changes, security fixes, or feature changes. Some updates may be required for continued safe or compatible use. We will provide updates and conformity remedies where mandatory law requires them. We do not promise that every feature, camera, file format, or operating-system version will remain supported indefinitely.

The beta App checks automatically for signed updates and notifies you when one is available. It does not automatically download or install the update; you choose whether and when to proceed. Update-check handling is described in the Privacy Policy.

Pre-release, beta, experimental, or preview features may be incomplete and may change or be removed. Do not rely on them as the only way to store or produce important work. Beta labeling does not waive rights that cannot be waived.

The current beta version is supported throughout beta testing, with security updates provided for 12 months after the final beta release. Current supported versions and the vulnerability-reporting process are published at https://filmbuddyapp.com/security.

10. Support

Film Buddy, not Apple or a camera maker, is responsible for App maintenance and support. Apple has no obligation whatsoever to furnish maintenance or support for the App. Contact hello@filmbuddyapp.com or visit https://filmbuddyapp.com/support. Support scope and response times may vary by release or purchase plan unless a separate written agreement says otherwise.

11. Prices, taxes, and refunds

Prices, taxes, license duration, and included support are shown at the point of purchase. If you acquire the App through Apple's App Store, Apple processes the transaction and its purchase and refund rules apply. If you acquire it directly, the checkout terms and mandatory consumer cancellation or refund rights that apply where you live will apply. Direct checkout states the final price, license duration, and applicable cancellation and refund terms before purchase.

The iPhone App is available as a free App Store download, and the reflected-light Meter currently requires no purchase. Film Buddy may later offer optional digital features, services, or subscriptions through Apple's In-App Purchase system. Before any purchase, the App will display the price, duration, included features, renewal terms, and cancellation information. Apple processes App Store transactions, taxes, refunds, subscription management, and payment credentials. Deleting a Film Buddy account does not automatically cancel an Apple subscription; the App will direct users to Apple's subscription management if a subscription exists. No optional purchase is currently required to use the account-free Meter.

12. Warranty

To the maximum extent permitted by law, and subject to any express written warranty and non-waivable consumer guarantee, the App is provided "as is" and "as available." Film Buddy disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and that the App will be uninterrupted, error-free, secure, or compatible with every source or device.

Some jurisdictions do not allow these exclusions, so some or all may not apply to you. If the App fails to conform to an applicable warranty and you acquired it from Apple, you may notify Apple and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation for the App, and Film Buddy is solely responsible for all other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty.

13. Limitation of liability

To the maximum extent permitted by law, Film Buddy and its owners, personnel, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, photographs, edits, or use, arising from the App even if advised that such loss was possible.

To the maximum extent permitted by law, Film Buddy's total aggregate liability arising out of or relating to the App or these Terms will not exceed the greater of (a) the total amount you paid Film Buddy for the App during the 12 months before the event giving rise to the claim or (b) US $100. This cap does not apply where liability cannot lawfully be excluded or capped, including liability that applicable law imposes for fraud, willful misconduct, gross negligence, death, personal injury, Film Buddy's infringement or misappropriation of third-party intellectual property, non-waivable consumer rights, or any other liability that applicable law prohibits limiting.

14. Suspension and termination

You may end these Terms by ceasing use and deleting your copies of the App. We may suspend or terminate a license if you materially breach these Terms, subject to any notice or cure period required by law. On termination, the license ends; provisions that by their nature should survive will survive, including ownership, disclaimers, liability limits, and dispute provisions. Open-source rights granted under separate licenses are not terminated by this section.

We may also suspend or revoke beta access to protect the App or account service, address abuse or a security risk, enforce these Terms, or administer the beta, subject to rights and notice requirements that applicable law does not permit us to waive. Account suspension or revocation does not itself erase the local library or referenced originals.

Account suspension does not disable the account-free iPhone Meter.

Customer account deletion

An authenticated non-administrator customer can initiate Film Buddy iPhone app → Account → Delete Account and Buddy Log. After confirmation, Film Buddy permanently deletes the Auth account, profile, sessions, associated cloud Buddy Log rows, beta-code attempt-window row, and account-linked installation and seat records before the App removes that account's local session, rolls, and frames from the iPhone. Access-control and agreement records are removed or de-identified except for the narrowly required records described below. The action cannot be undone, and ordinary customers do not need to email support or open a support ticket.

Operational backup copies and narrowly required fraud-prevention, security, agreement, legal, seat-history, or access-audit records may remain for a permitted period. Film Buddy staff administrator accounts are refused by the customer flow and may require transfer or retention of immutable release-audit responsibilities. These staff procedures do not limit customer deletion rights. Account deletion does not erase Mac-local libraries, referenced originals, exports, or backups that Film Buddy never received.

15. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes may be brought in the state courts located in Greene County, Ohio, or the United States District Court for the Southern District of Ohio. This choice does not deprive a consumer of mandatory protections or a forum available under the law of the consumer's habitual residence.

16. Export controls and legal compliance

You represent that you are not located in a country or region subject to a U.S. government embargo, designated as supporting terrorism by the U.S. government, or otherwise prohibited from receiving the App, and that you are not listed on a U.S. government restricted-party list. You must comply with applicable export, re-export, sanctions, import, and local laws.

17. Apple App Store terms

If you acquired the App through Apple's App Store:

• these Terms are between you and Film Buddy, not Apple, and Film Buddy is solely responsible for the App and its content;
• your license is limited to permitted use on Apple-branded products you own or control, consistent with Apple's Usage Rules and applicable Family Sharing, volume-purchase, or Legacy Contact rules;
• Film Buddy, not Apple, provides maintenance and support;
• Film Buddy, not Apple, is responsible for product-liability, legal or regulatory, consumer-protection, and privacy claims concerning the App;
• Film Buddy is responsible for investigating, defending, settling, and discharging a claim that the App infringes a third party's intellectual- property rights; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, may enforce the provisions that benefit Apple.

These Terms do not conflict with the Apple Media Services Terms and Conditions. For an App Store release that supplies these Terms as its custom EULA, this document replaces Apple's standard EULA for the App to the extent Apple permits.

18. Changes and general terms

We may update these Terms for future use when the App, distribution model, or law changes. We will post the updated version at https://filmbuddyapp.com/eula, change the effective date, and provide any notice or obtain any renewed agreement required by law. For version 1.7, notice will also be provided through the native Legal Center and applicable app release information; version 1.7 does not add a separate native click-through, while a gated Mac download requires acceptance of the then-current EULA on the website. Changes do not retroactively alter an existing paid license unless legally permitted and properly accepted.

If one provision is unenforceable, it will be enforced to the maximum lawful extent and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms except as the law permits; Film Buddy may assign them with a business transfer subject to applicable notice and consumer rights. These Terms and any purchase terms are the agreement about the App, except for terms that expressly survive separately.
