These Terms of Use and End-User License Agreement ("Terms") are a legal agreement between you and Film Buddy LLC ("Film Buddy," "we," "us," or "our"), for the Film Buddy macOS application, its first-party documentation, and related support (collectively, the "App").

Read these Terms before acquiring or using the App. By downloading, installing, or using the App, or by affirmatively accepting these Terms where that option is provided, you agree to them. If you use the App for an organization, you represent that you have authority to bind it. If you do not agree, do not use the App.

Nothing in these Terms limits rights that cannot lawfully be limited, including mandatory consumer rights in your country.

1. Eligibility

You must be legally capable of entering this agreement. If you have not reached the age of legal majority where you live, a parent or legal guardian must review and accept these Terms for you. The App is a general-audience creative tool and is not directed to children under 13.

2. License

Subject to these Terms and any purchase rules that apply, Film Buddy grants you a limited, non-exclusive, non-transferable license, terminable as provided in Section 14, to install and use the object-code version of the App on Apple-branded Products that you own or control for personal or internal business purposes. App Store Family Sharing and volume purchasing, and access by an eligible Legacy Contact, may be used when permitted by Apple's Usage Rules.

The App is licensed, not sold. Except for third-party components governed by their own licenses, Film Buddy and its licensors retain all rights in the App, software, interface, documentation, branding, and related intellectual property.

You may not, except where applicable law or an open-source license expressly permits it:

  • copy, redistribute, rent, lease, sublicense, sell, or commercially host the App;
  • modify, defeat security features, create derivative works from, decompile, disassemble, or reverse engineer the App;
  • use the App to violate law, privacy, publicity, copyright, trademark, trade secret, contractual, or other rights; or
  • use the App to introduce malicious code, interfere with systems, or evade technical restrictions.

These restrictions do not override legally protected interoperability, security-research, repair, reverse-engineering, or open-source rights.

3. Your photographs and exports

You retain your rights in photographs, metadata, edits, recipes, and exports that you create or process. Film Buddy does not claim ownership of them. The App processes them locally and does not require a license to upload them to a Film Buddy service.

You are responsible for having the rights and permissions needed to possess, process, edit, export, and share your source material and for complying with privacy, publicity, intellectual-property, archival, employment, and client obligations that apply to it.

4. Local storage, backups, and deletion

The App references originals at locations you choose and maintains a local catalog, recipes, previews, decoded working files, caches, logs, and other data. You are responsible for maintaining reliable backups of originals, the Film Buddy library, important recipes, exports, and sidecars.

Film Buddy's Trash is not immediate erasure. Removing an item from the library does not delete its referenced original, and clearing a cache does not erase the whole library. Uninstalling the App may leave Application Support files and preferences behind. Review the Local Data & Diagnostics Guide before deleting or moving files manually.

5. Exports, color, and professional use

Film Buddy verifies certain technical export properties, including supported format, dimensions, bit depth, and ICC profile. Results can still vary with the source, film stock, scanner or camera, lens, capture conditions, display, calibration, operating system, printer, lab, paper, profile, settings, and other equipment or software.

Keep originals and independently validate critical results. Unless we expressly agree in writing, the App and its outputs are not certified as archival, forensic, evidentiary, medical, safety-critical, or suitable for a specialized regulated purpose. The App is not designed for high-risk environments where a failure could cause death, injury, severe property loss, or environmental harm.

Optional sidecars contain source paths, hashes, recipe data, and export history. You are responsible for reviewing or disabling them before sharing.

6. Camera tethering and camera-SDK terms

Direct camera control is optional and must be used only with supported devices, in their normal intended operation, and in accordance with the camera maker's terms and instructions.

Before using direct control of a supported Sony camera, you acknowledge and consent that:

  • once a device is used or controlled through the App, the device will be outside the applicable manufacturer warranty as separately specified by Sony;
  • Sony does not own, license, create, develop, sponsor, or provide support for Film Buddy; Film Buddy alone is responsible for App support;
  • you will not use the bundled camera software, the App, or a connected device to design, develop, manufacture, customize, use, install, inspect, store, or transport arms, explosives, chemical or biological weapons, or other items prohibited by the camera SDK terms; and
  • you will not use or transfer them for prohibited military activities, including intelligence, surveillance, or reconnaissance, or to a person you know intends such use.

Do not select "Agree" in the camera notice or use direct camera control if you do not consent. USB or local-network availability can be interrupted and is not guaranteed. You are responsible for securing your local network and connected equipment and for following applicable export and sanctions laws.

7. Privacy

The Film Buddy App Privacy Policy and Local Data & Diagnostics Guide explain the App's local processing, diagnostics, optional camera communication, exports, support information, retention, and deletion. They are available offline under Film Buddy > Legal & Privacy and online at https://filmbuddyapp.com/privacy.

8. Third-party software and services

The App includes Apple frameworks and third-party or open-source components. Those components may be governed by separate notices and license terms, which control where they conflict with these Terms. See Third-Party Notices in the App. You must comply with applicable third-party terms when using connected hardware, operating-system services, the App Store, or other software.

Third-party products and services may change, fail, or become unavailable. Film Buddy does not control them and is not responsible for third-party terms, content, security, support, or availability, except to the extent the law says otherwise.

9. Updates, compatibility, and beta features

We may provide updates, compatibility changes, security fixes, or feature changes. Some updates may be required for continued safe or compatible use. We will provide updates and conformity remedies where mandatory law requires them. We do not promise that every feature, camera, file format, or operating-system version will remain supported indefinitely.

Pre-release, beta, experimental, or preview features may be incomplete and may change or be removed. Do not rely on them as the only way to store or produce important work. Beta labeling does not waive rights that cannot be waived.

The current beta version is supported throughout beta testing, with security updates provided for 12 months after the final beta release. Current supported versions and the vulnerability-reporting process are published at https://filmbuddyapp.com/security.

10. Support

Film Buddy, not Apple or a camera maker, is responsible for App maintenance and support. Apple has no obligation whatsoever to furnish maintenance or support for the App. Contact hello@filmbuddyapp.com or visit https://filmbuddyapp.com/support. Support scope and response times may vary by release or purchase plan unless a separate written agreement says otherwise.

11. Prices, taxes, and refunds

Prices, taxes, license duration, and included support are shown at the point of purchase. If you acquire the App through Apple's App Store, Apple processes the transaction and its purchase and refund rules apply. If you acquire it directly, the checkout terms and mandatory consumer cancellation or refund rights that apply where you live will apply. Direct checkout states the final price, license duration, and applicable cancellation and refund terms before purchase.

12. Warranty

To the maximum extent permitted by law, and subject to any express written warranty and non-waivable consumer guarantee, the App is provided "as is" and "as available." Film Buddy disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and that the App will be uninterrupted, error-free, secure, or compatible with every source or device.

Some jurisdictions do not allow these exclusions, so some or all may not apply to you. If the App fails to conform to an applicable warranty and you acquired it from Apple, you may notify Apple and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation for the App, and Film Buddy is solely responsible for all other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty.

13. Limitation of liability

To the maximum extent permitted by law, Film Buddy and its owners, personnel, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, photographs, edits, or use, arising from the App even if advised that such loss was possible.

To the maximum extent permitted by law, Film Buddy's total aggregate liability arising out of or relating to the App or these Terms will not exceed the greater of (a) the total amount you paid Film Buddy for the App during the 12 months before the event giving rise to the claim or (b) US $100. This cap does not apply where liability cannot lawfully be excluded or capped, including liability that applicable law imposes for fraud, willful misconduct, gross negligence, death, personal injury, Film Buddy's infringement or misappropriation of third-party intellectual property, non-waivable consumer rights, or any other liability that applicable law prohibits limiting.

14. Suspension and termination

You may end these Terms by ceasing use and deleting your copies of the App. We may suspend or terminate a license if you materially breach these Terms, subject to any notice or cure period required by law. On termination, the license ends; provisions that by their nature should survive will survive, including ownership, disclaimers, liability limits, and dispute provisions. Open-source rights granted under separate licenses are not terminated by this section.

15. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes may be brought in the state courts located in Greene County, Ohio, or the United States District Court for the Southern District of Ohio. This choice does not deprive a consumer of mandatory protections or a forum available under the law of the consumer's habitual residence.

You represent that you are not located in a country or region subject to a U.S. government embargo, designated as supporting terrorism by the U.S. government, or otherwise prohibited from receiving the App, and that you are not listed on a U.S. government restricted-party list. You must comply with applicable export, re-export, sanctions, import, and local laws.

17. Apple App Store terms

If you acquired the App through Apple's App Store:

  • these Terms are between you and Film Buddy, not Apple, and Film Buddy is solely responsible for the App and its content;
  • your license is limited to permitted use on Apple-branded products you own or control, consistent with Apple's Usage Rules and applicable Family Sharing, volume-purchase, or Legacy Contact rules;
  • Film Buddy, not Apple, provides maintenance and support;
  • Film Buddy, not Apple, is responsible for product-liability, legal or regulatory, consumer-protection, and privacy claims concerning the App;
  • Film Buddy is responsible for investigating, defending, settling, and discharging a claim that the App infringes a third party's intellectual- property rights; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, may enforce the provisions that benefit Apple.

These Terms do not conflict with the Apple Media Services Terms and Conditions. For an App Store release that supplies these Terms as its custom EULA, this document replaces Apple's standard EULA for the App to the extent Apple permits.

18. Changes and general terms

We may update these Terms for future use when the App, distribution model, or law changes. We will post the updated version at https://filmbuddyapp.com/eula, change the effective date, and provide any notice or obtain any renewed agreement required by law. Changes do not retroactively alter an existing paid license unless legally permitted and properly accepted.

If one provision is unenforceable, it will be enforced to the maximum lawful extent and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms except as the law permits; Film Buddy may assign them with a business transfer subject to applicable notice and consumer rights. These Terms and any purchase terms are the agreement about the App, except for terms that expressly survive separately.
