1. This agreement and your acceptance

These Terms of Use and End-User License Agreement ("Terms") are an agreement between you and Film Buddy LLC ("Film Buddy," "we," "us," or "our"). They govern the Film Buddy iPhone and macOS applications, included documentation and content, and the Film Buddy account services used with them, including Buddy Log and personal developing recipe synchronization (together, the "App"). A provision describing a particular platform, feature, camera provider, or purchase applies only to that part of the App.

Please read these Terms before accepting them. You accept the version presented to you by selecting an expressly labeled agreement control, accepting it as part of a download or account-service transaction, or acquiring the App under an applicable App Store custom-license process. When we request your affirmative agreement, opening a legal document or choosing to install a software update is not, by itself, that agreement. If you do not agree, do not acquire or begin using the App version or service offered under these Terms. Section 19 explains changes affecting existing users.

If you accept for an organization, you represent that you have authority to bind it; references to "you" then include that organization. You must be legally capable of entering this agreement. If you have not reached the age of legal majority where you live, your parent or legal guardian must review and accept these Terms on your behalf. Film Buddy is a general-audience photography tool and is not directed to children under 13.

Nothing in these Terms excludes or limits rights, remedies, guarantees, or liability that applicable law does not allow us to exclude or limit. This protection applies throughout the agreement, including to beta features and third-party components.

2. Related documents and which terms apply

The Privacy Policy at filmbuddyapp.com/privacy explains how personal information is handled. Acknowledging that policy is not consent to optional marketing, device permissions, or any processing that requires a separate choice. You control those choices through the relevant consent and permission settings.

The Website Terms at filmbuddyapp.com/terms govern ordinary website use and website-specific activities. These Terms govern software licensing and the app-connected account services described here. The Local Data & Diagnostics Guide and support materials explain operating procedures; they do not silently amend this agreement. Any agreed purchase terms specify the price, license duration, included features, and support for that purchase.

Separate third-party and open-source licenses control the components they cover where they conflict with these Terms. Apple's applicable Usage Rules control App Store acquisition and permitted App Store use. An expressly agreed purchase term controls its specific commercial subject, subject to applicable law. Otherwise, these Terms control App licensing and app-connected services. No document takes away mandatory consumer rights.

3. Your license and permitted use

Subject to these Terms and the applicable purchase and platform rules, Film Buddy grants you a limited, non-exclusive, non-transferable license to install and use the object-code App on Apple-branded products you own or control. The license continues for the applicable license period unless terminated under Section 17.

You may use the App for personal photography and ordinary business or professional work, including processing photographs and delivering finished work for your clients. This permission does not authorize you to resell the App, sublicense access to it, or operate a hosted processing service that gives others access to the software. App Store Family Sharing, volume purchasing, and eligible Legacy Contact access are permitted to the extent Apple's Usage Rules allow them. The direct Mac beta's account and seat conditions are set out in Section 5.

The App is licensed, not sold. Film Buddy and its licensors retain ownership of the software, interface, documentation, original included content, branding, and other intellectual property, except for your content described in Section 7 and rights granted by separate licenses. This agreement does not grant a right to use Film Buddy's trademarks in a way that suggests sponsorship or endorsement.

Except as applicable law or a separate license permits, you must not:

• copy or redistribute the App beyond the license granted, or rent, lease, sell, sublicense, or commercially host it;
• modify, decompile, disassemble, reverse engineer, or create derivative works of the App;
• bypass or falsify account, session, seat, code, licensing, or other access controls;
• introduce malicious code, disrupt services, misuse credentials, impersonate others, or use automated requests to overwhelm the App or its services; or
• use the App to violate law or another person's privacy, publicity, intellectual-property, contractual, or other rights.

These restrictions do not override protected interoperability, security research, repair, reverse engineering, or open-source rights.

4. iPhone access and account services

The iPhone App is available as a free App Store download, and the reflected-light Meter currently requires no purchase. Meter, Sun, Backlight, and the included developing recipes and timers can be used without a Film Buddy account. Buddy Log and account-owned personal developing recipes require a Film Buddy account. Availability of a particular feature also depends on the installed version, supported device, permissions, and regional availability.

You must provide accurate account information, protect your credentials and devices, and promptly report suspected unauthorized access to hello@filmbuddyapp.com. You are responsible for activity you authorize and for reasonable care in protecting your account, subject to applicable law. Do not share another person's private account data or use an account without permission.

You can create or sign in to a Film Buddy account with an email address and password or, where offered, with Sign in with Apple or Sign in with Google. Apple and Google provide those sign-in services under their own terms, and Film Buddy never receives your Apple or Google password. A Google or Apple sign-in is not added to an existing Film Buddy account automatically: sign in to that account first, then add the provider from account settings. Protect the Apple or Google account you use, because it can open your Film Buddy account.

While registration is available, creating a Film Buddy account does not apply for the Mac beta, join a review queue, consume a Mac seat, or guarantee a future invitation. Signed-in users may use Buddy Log regardless of their Mac beta status. An internet connection and a valid account session are required for synchronization; eligible local content remains available to its signed-in account offline. Account authentication and online services may be interrupted or unavailable.

Signing out removes the iPhone session and restricts access to account-backed data. It does not itself delete the online account, the account's locally retained notebook or recipes, or any Mac seat. Signing in to a different account does not transfer ownership of the previous account's content. Personal recipes that have not been assigned to an account remain local until you choose to associate them with an account.

5. Direct Mac beta access, seats, and offline use

The directly distributed Mac beta requires a Film Buddy account, approved beta entitlement, and a valid Mac seat. The current direct Mac beta is invitation-only and offered in the United States; that program restriction does not define the iPhone App's App Store territories. A beta invitation or code may be restricted, expire, or be revoked and does not guarantee continuing availability. Registration, a successful sign-in, and downloading the App do not themselves grant approved Mac access.

An approved account may hold no more than two current Mac server seat assignments. A seat is an access assignment for an installation and authenticated session; it is not device ownership or a perpetual license. The iPhone App, Buddy Log, website access, and Mac downloads do not consume a seat. Administrator accounts are subject to the same two-seat limit. Account controls allow you to manage saved installations and disable or replace seats when devices change. Reasonable security and saved-device limits may also apply.

An online account-and-seat check is required before initial use. After a successful check, the same account, installation, session, and seat assignment may use a cached authorization under a seven-day (168-hour) offline lease. Invalid or changed account, seat, session, device, or security state may end access earlier. Reconnection or a compatible update may be required. We do not guarantee uninterrupted access or perfect remote enforcement on an offline device controlled by its owner.

Disabling or replacing a server seat makes it available on the server promptly, but an already offline installation may continue under its unexpired cached authorization. Temporary offline overlap does not grant an additional permanent seat.

The local Mac library is bound to an approved Film Buddy account. Another account does not automatically acquire or merge it. Where the App offers an explicit library-account switch, that action requires the account and seat conditions shown by the App and changes the local binding; it does not upload or merge the photographs.

On sign-out, the Mac App removes its local session and cached authorization and locks account-gated access, then makes a best-effort request to release the corresponding server seat and session. A failure to remove local credentials is reported as a sign-out failure. If remote release cannot be confirmed after local sign-out, the website remains available to manage the seat. Signing out does not sign out other devices or delete the account, local library, originals, exports, backups, saved installation history, or permitted audit records.

File retention does not guarantee continued App access. Loss of an eligible account, session, seat, or offline authorization can prevent viewing, editing, and exporting inside the Mac App even though your files remain on disk. Originals and completed exports remain usable with compatible software independently of Film Buddy. A saved Film Buddy editing recipe may require a compatible, accessible Film Buddy installation to render the corresponding result. Keep backups and completed exports before signing out, deleting an account, or ending access. Contact support about access or recovery problems; these Terms do not promise an account-free recovery or export mode. Mandatory data-access rights and remedies remain available.

6. iPhone tools and optional Backlight control

Meter

Meter uses the iPhone camera and your selected settings to estimate reflected light and suggest exposure. Live metering requires camera permission. It is not an incident meter, laboratory-calibrated instrument, or guarantee of exposure. Device hardware and processing, scene reflectance, metering point, calibration, film, lens, development, and your settings affect results. Test and calibrate your own workflow; use an independent meter or bracket exposures when a missed exposure would cause significant loss.

Sun (previously Light)

Sun estimates sun times and direction for a selected place and provides photography-planning suggestions. Results depend on coordinates, date, time zone, calculation assumptions, and device settings. Actual visible light also depends on weather, terrain, obstructions, and local conditions. Sun is not a weather forecast, an exposure measurement, or a navigation or safety service.

You may choose a location manually or request optional device location. Apple geocoding may be used to find places and time zones. The Privacy Policy explains those interactions and the saved place. Granting location permission is not a requirement to use the account-free Meter or other features that do not need it.

Backlight and remote light control

Backlight provides white, red, green, or blue screen illumination for film scanning. Standalone use does not require an account. With compatible versions of Film Buddy on both devices, you may optionally connect by USB or pair over the same local Wi-Fi network using a QR shown on the Mac. Wi-Fi control is encrypted. The local connection does not require a Film Buddy account or internet service, but use of the gated Mac App remains subject to Section 5.

You choose brightness and output settings on the iPhone. The Mac may request light changes only during a session you start on the phone: tapping Connect in Backlight, or scanning the Mac's pairing QR, approves light control for that session. During that session, a Mac that remembers the phone may connect and start light control without another tap while its Backlight panel is open, including after an unexpected drop or after you leave and return to the App. The session ends when you tap Stop, use Forget this Mac, or choose Disconnect on the Mac, or after 10 minutes with no Mac connected. Remembering a device permits later reconnection; it does not grant light-control permission outside a session you started. You can stop control, use Forget this Mac on iPhone, or disconnect and use Forget phone on Mac. Forget this Mac removes the iPhone's remembered credential. Forget phone removes the Mac's remembered pairing and, the next time that phone waits for the Mac on the same network, asks the phone to forget the Mac too; it does not otherwise erase the other device's stored data. A fresh pairing is required for that connection afterward. Camera access for QR scanning and Local Network access are separate optional permissions described in the Privacy Policy.

Use a stable setup, follow device makers' operating guidance, and check the light and saved captures after interruption. Display hardware, brightness, temperature, device settings, optical arrangement, and timing affect illumination. Backlight is not calibrated spectral illumination; Film Buddy does not claim high CRI, a particular wavelength, uniform output, calibrated color, or guaranteed scan quality. Disconnection or a paused/backgrounded phone can interrupt a scan. Reconnection and fresh approval may be necessary; do not assume that a stopped capture or light will restart automatically.

Develop, included information, and personal recipes

Develop presents recipe references and assists with timing a process you choose. Included summaries, catalog entries, conversions, and suggested steps may be incomplete, contain errors, or become outdated. A reference or attribution does not imply that a manufacturer endorses Film Buddy or has validated your particular use. User-created recipes are the responsibility of the person using them.

Before processing film, verify the exact film, process, kit, chemistry, dilution, temperature, agitation, capacity, exhaustion, and current manufacturer instructions. Follow the manufacturer's safety data sheets, protective-equipment, ventilation, handling, storage, and disposal instructions and applicable requirements. An app summary does not replace those instructions. Do not use a suggested recipe when it conflicts with the instructions for your actual materials or equipment.

Film Buddy does not measure chemical temperature, determine chemical safety or remaining capacity, or operate processing equipment. You remain responsible for monitoring the process and confirming stage changes. Film and chemistry can be damaged by incorrect inputs, missed cues, interruptions, or unsuitable materials even when a timer is running.

Timers, notifications, and Live Activities

Stage timers, agitation cues, notifications, and Live Activities are aids. Alerts may cover only the current stage; advancing a bath or stage may require your confirmation. Notification permissions, Focus settings, system limits, background execution, battery state, audio settings, a locked or restarted device, and other interruptions may affect delivery or visibility. An alert is not guaranteed to be delivered, heard, seen, or acted on at the intended time. Use an independent timing method and monitor your process when a missed cue could damage film or create a hazard. Do not rely on Film Buddy as the only safeguard for an unattended process.

7. Your content and the limited service license

You retain your rights in your photographs, roll and frame metadata, notes, editing recipes, personal developing recipes, exports, and other material you create or provide ("Your Content"). Film Buddy does not acquire ownership of Your Content through your use of the App.

Mac photo processing and its library, editing recipes, previews, and exports are local workflows. Account or seat verification does not upload that library. Buddy Log and personal developing recipes are separate account-backed services. Content you choose to synchronize may include roll and frame details, notes, gear, recipe names, process steps, temperatures, chemistry, and source references. The Privacy Policy describes the actual data flows.

For Your Content you submit to a Film Buddy service, you grant Film Buddy a non-exclusive, worldwide, royalty-free license solely to receive, store, reproduce, process, transmit, synchronize, back up, secure, and return that content as needed to provide the service you request. We may allow service providers to exercise these rights only to operate that service for us. This is not a license to publish your private photographs or recipes in advertising, sell them as content, or claim rights in your pre-existing client work.

This operational permission lasts while the content is held to provide the service, and thereafter only to complete deletion, process permitted backup rotation, or meet the limited retention obligations described in the Privacy Policy and applicable law. It does not authorize unrelated use of retained content.

You must have the rights and permissions needed to possess, process, synchronize, and share Your Content, including any permissions required by your client, employer, copyright owner, or the people depicted. Do not submit material you are not entitled to provide or make available.

8. Storage, synchronization, backups, and deletion

Keep reliable independent backups of originals, the Mac library, important editing and developing recipes, notebook records, sidecars, and finished exports. Synchronization is not a substitute for a backup. Network failure, device loss, conflicts, corruption, accidental deletion, and service interruption can affect local and remote copies. The App saves eligible notebook and personal-recipe changes locally before attempting synchronization, but no storage system can guarantee recovery in every circumstance.

On Mac, Move to Trash is a reversible library state, not erasure. Remove from Library removes the selected catalog data and associated editing information but preserves the referenced original. Clear Cache removes regenerable working files and previews while preserving originals, saved recipes, film-base preparation, crops, conversion state, and completed exports. Uninstalling may leave support files and preferences. Deleting a library folder manually can remove originals if that folder contains captured or imported originals. Check the actual path and contents and make a backup before deleting files.

You can initiate account deletion in the iPhone account controls, or under Settings → Delete account on filmbuddyapp.com, after authentication and confirmation. This deletes the customer account and associated cloud Buddy Log and personal-recipe content, subject to the narrowly permitted retention described below. After confirmed deletion from an iPhone, that iPhone removes that account's local session and account-owned notebook, recipe, and developing-session data. Review the confirmation carefully; deleted data may not be recoverable.

Account deletion does not erase Mac-local libraries, originals, completed exports, independently shared files, or backups that Film Buddy does not control. It does not instantly erase data on another offline device. You are responsible for removing local copies from devices you dispose of or share. Loss of the account may end Mac access as described in Section 5.

Operational backups and limited security, fraud-prevention, agreement, transaction, or legal records may be retained for the purposes and periods described in the Privacy Policy or required by law. Customer deletion is available without a routine support ticket. Internal administrator accounts may require separate handling of official release and audit responsibilities; that does not limit ordinary customers' deletion rights.

The App does not promise a complete portable notebook or recipe export facility. Contact hello@filmbuddyapp.com to exercise applicable access or portability rights. A lack of an in-app export control does not limit those rights. Any future subscription is handled separately under Section 14; deleting an account does not itself cancel an Apple subscription.

9. Conversion, export, and professional results

Film Buddy can check technical export properties such as file format, dimensions, orientation, bit depth, and color-profile identity. Those checks do not establish that an image has the desired appearance or is suitable for every display, printer, lab, archive, or professional purpose.

Results depend on source quality, film stock, exposure, processing, scanner or camera, lens, illumination, sampling, settings, operating system, display calibration, color management, and the output workflow. Conversion and correction tools may produce artifacts or require manual adjustment. Inspect your results before deleting originals, delivering client work, printing, or relying on an export for an important purpose.

Unless expressly agreed in writing, the App and its outputs are not certified for archival, forensic, evidentiary, medical, or other regulated use. The App is not designed for high-risk or safety-critical operation where failure could cause death, injury, severe property loss, or environmental harm. Professional use is permitted, but responsibility for checking a deliverable's suitability remains with you, subject to the warranties and remedies that cannot lawfully be excluded.

Optional sidecars and exported metadata can contain source paths, hashes, recipe information, and editing or export history. Review them before sharing, and disable optional inclusion where appropriate for confidential or client work.

Experimental trichromatic RGB capture and import

Compatible Mac versions offer an optional experimental workflow that combines separate red-, green-, and blue-illuminated captures, or explicitly assigned imported RAW/TIFF triplets, into a local positive image. Coordinated capture requires a supported camera and configuration; ordinary tethering support does not establish RGB capture support. The current Canon adapter does not support coordinated RGB capture.

The workflow depends on correct channel assignment, stable exposure and geometry, suitable source files, and a clean film-border sample. Its present alignment check does not correct rotation, perspective, or subpixel registration. Processing choices can be recorded in a receipt and baked into the generated positive; later ordinary edits do not recreate every experimental processing decision. Retain the original captures and processing records, inspect the resulting image, and expect possible manual adjustment or rejection of incomplete groups. An editable TIFF or a completed capture receipt is not proof of calibrated color or a guarantee of fidelity, alignment, or scan quality. Experimental behavior and supported configurations may change, subject to your applicable license and mandatory rights.

10. Optional Mac camera control and vendor conditions

Camera control is optional and available only for supported devices and configurations. Follow the camera maker's instructions, connection requirements, firmware requirements, and applicable terms. USB, network, camera storage, and capture operations can fail or be interrupted. Secure your connected equipment and verify that important captures were saved correctly.

The following conditions concern the specified camera software supplied with the Mac App. They do not impose camera-SDK restrictions on unrelated use of the iPhone tools. They do not override non-waivable statutory rights or applicable open-source rights.

Sony camera software

For a Mac version containing Sony camera software, the following notice and consent must be presented before you are licensed to copy or use that version, in addition to any camera-specific notice shown when you connect a camera. By affirmatively accepting the Sony conditions presented with that version, you acknowledge and agree that:

• once a device is used or controlled through the App, it will be outside the applicable manufacturer warranty as separately specified by Sony;
• Sony does not own, license, create, develop, sponsor, or support Film Buddy; Film Buddy is responsible for support of its App;
• you will not use the Sony camera software, the applicable App, or connected devices to design, develop, manufacture, customize, use, install, inspect, or store Arms; transport explosives, chemical or biological weapons, or other harmful items; or conduct military activities such as intelligence, surveillance, or reconnaissance; and
• you will not resell or transfer the applicable App to others who intend those uses.

For these Sony conditions, "Arms" includes products, software, technologies, and services designed for combat attack or capable of being diverted to it, together with specially designed parts, accessories, and software. Examples include guns, including hunting and sporting guns and their telescopic sights; tanks, warships, submarines, combat aircraft and attack helicopters; explosives; biological or chemical weapons; missiles; offensively armed unmanned aircraft; and specially designed guidance or attitude-control devices or programs for those items.

Do not acquire or use a Sony-equipped version if you do not accept these conditions. This notice does not itself establish that a particular camera failure is excluded from statutory protection; mandatory rights remain unaffected.

Nikon camera software

Nikon Corporation and its licensors retain ownership of the Nikon camera SDK and related materials. You may use those components only as permitted through the App and must not otherwise copy, modify, reverse engineer, decrypt, decompile, disassemble, or create derivative works from them, except where applicable law or a controlling separate license permits it.

The restrictions, warranty disclaimers, and liability limitations in these Terms that apply to Nikon components are intended for Nikon's benefit. Nikon is a third-party beneficiary entitled to enforce those provisions, subject to applicable law. Nikon does not own, create, develop, sponsor, or provide support for Film Buddy; Film Buddy is responsible for App support.

Canon camera software

The Canon camera software may be used only with a compatible Canon-branded product and only in North America, South America, or the Caribbean. Availability of the Film Buddy download elsewhere does not authorize use of the Canon camera software outside those regions. Canon and its licensors retain all ownership rights in that software and its related materials.

You must not assign, sublicense, rent, lease, reproduce, distribute, convey, transfer, modify, translate, decompile, reverse engineer, disassemble, or create derivative works from the Canon camera software, except to the extent applicable law expressly permits an activity despite that restriction.

To the extent permitted by applicable law, the Canon camera software is provided AS IS. Canon, its parent, subsidiaries, affiliates, distributors, and dealers provide no warranty, maintenance, update, fix, or support for it, including implied warranties of merchantability or fitness for a particular purpose. They are not liable for lost revenue or profits or special, incidental, consequential, or other damages arising from its use, misuse, or inability to be used, to the extent such liability may lawfully be excluded.

Canon does not own, create, develop, sponsor, or support Film Buddy. Film Buddy selects and maintains its App and is responsible for App support. Comply with applicable U.S. export controls and do not export, re-export, download, use, or transfer the Canon software to an embargoed destination or prohibited or restricted person.

Canon states that the Canon camera software may collect usage information and statistics, including an IP address, SDK version, the tools or services used, and how they are used, under Canon's own privacy statement. Film Buddy does not receive that information. See the Privacy Policy.

Canon RESTRICTED RIGHTS notice: The Canon camera software is provided with RESTRICTED RIGHTS. U.S. Government use, duplication, or disclosure is subject to the applicable restrictions in 48 CFR 252.227-7013 and 48 CFR 52.227-19. The contractor/manufacturer is Canon U.S.A., Inc., One Canon Park, Melville, New York 11747.

11. Third-party components, services, and App Store terms

The App includes Apple frameworks and other licensed or open-source components. Their notices and licenses are available in the App and at filmbuddyapp.com/licenses. Separate licenses govern their own components where they conflict with these Terms. Ending this agreement does not terminate rights independently granted under those licenses.

Third-party account infrastructure, sign-in providers such as Apple and Google, geocoding, operating-system services, camera software, catalogs, and linked resources have their own terms and may change or become unavailable. Comply with applicable third-party terms when using connected services and hardware. Film Buddy remains responsible for obligations applicable law places on it; referring to a service provider does not remove those obligations.

For an App acquired through Apple's App Store:

• this agreement is between you and Film Buddy, not Apple; Film Buddy is responsible for the App and its content;
• the license is for Apple-branded products you own or control under Apple's Usage Rules, including permitted Family Sharing, volume purchasing, and Legacy Contact access;
• Film Buddy is responsible for App maintenance and support; Apple has no obligation to supply them;
• Film Buddy is responsible for addressing product-liability, legal or regulatory compliance, consumer-protection, privacy, and similar claims concerning the App or your possession or use of it;
• Film Buddy, not Apple, is responsible for investigating, defending, settling, and discharging third-party claims that the App or your possession or use of it infringes intellectual-property rights; and
• Apple and its subsidiaries are third-party beneficiaries of this agreement and may enforce it against you after acceptance.

These Terms must not conflict with the applicable Apple Media Services Terms and Conditions. They replace Apple's standard EULA only where Film Buddy has supplied them as a custom EULA and Apple's rules permit that replacement. They do not purport to replace Apple's standard EULA in an unselected territory. The Apple warranty provisions in Section 15 also apply.

12. Updates, compatibility, and beta operation

Updates may correct errors, address security, maintain compatibility, or change features. Some updates or online checks may be necessary for continued safe, supported, or compatible use. We will provide updates and conformity remedies required by applicable law. We do not promise continuing support for every camera, source format, operating-system release, or configuration.

The direct Mac beta checks for signed updates and notifies you when one is available. You choose whether to download and install it; an install-and-relaunch command can authorize the installation to finish without a second prompt. iPhone updates are distributed under Apple's update mechanisms and your device settings. An update choice does not replace a separately requested agreement to materially changed terms.

Beta, preview, and experimental features may be incomplete, contain defects, change, or be discontinued. Keep originals and independent backups and do not use a beta as the sole way to preserve important work. Beta labeling does not waive mandatory rights.

The current Mac beta version is supported throughout beta testing, with security updates provided for 12 months after the final beta release. Supported-version information and the vulnerability-reporting process are published at filmbuddyapp.com/security. This statement does not shorten a longer period required by law or an express purchase commitment. Changes to service availability and existing agreements are subject to Sections 17 and 19.

13. Support

Film Buddy provides App support at hello@filmbuddyapp.com and filmbuddyapp.com/support. Support scope and response times depend on the applicable release and any agreed support plan. No specific response or resolution time is guaranteed unless expressly agreed or required by law. Apple and camera makers do not undertake Film Buddy support obligations merely because their products or software are used with the App.

When requesting help, share only information and files you have permission to provide. Review diagnostics, screenshots, sidecars, and sample images for confidential or personal material. Support submissions are handled for the requested support purpose and under the Privacy Policy; they do not grant a general right to publish your photographs or client information.

14. Prices, future paid features, and refunds

Updating this agreement does not cancel an existing purchase entitlement, require repurchase, or erase a purchase or prior acceptance record. Any restriction or change to an existing purchase remains subject to its agreed terms and applicable law.

Any price, tax, license duration, included features, renewal arrangement, and cancellation terms will be disclosed before a purchase. These Terms do not create a charge, subscription, or obligation to buy an upgrade. Future paid features do not by themselves change a previously purchased license or authorize charging for an existing free feature without the disclosures, agreement, and rights required by law.

Apple processes App Store transactions under its applicable purchase and refund procedures. If subscriptions are offered, the offer will state price, billing period, renewal conditions, and how to cancel. Deleting the App or a Film Buddy account does not automatically cancel an Apple subscription. Use Apple's subscription-management controls; cancellation and account deletion are separate actions, and account deletion remains available.

For any direct purchase, the agreed checkout terms and applicable consumer cancellation and refund rights apply. Store procedures and these Terms do not eliminate remedies that applicable law gives you against Film Buddy. Film Buddy does not promise future paid products, a particular release date, or a permanent price unless expressly agreed.

15. Warranty and mandatory remedies

To the maximum extent permitted by applicable law, and subject to express warranties and mandatory consumer guarantees, the App is provided "as is" and "as available." Film Buddy disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment, and does not warrant uninterrupted, error-free, universally compatible, or completely secure operation.

Some jurisdictions do not permit some exclusions, so they may not apply to you. Nothing here excludes required standards of quality or conformity, required security updates, or mandatory repair, replacement, price-reduction, refund, cancellation, or other remedies. Feature descriptions and other representations retain any legal effect applicable law gives them.

If an App Store App fails to conform to an applicable warranty, you may notify Apple and Apple will refund its purchase price. To the extent permitted by law, Apple has no other warranty obligation concerning that App, and Film Buddy is responsible for the other claims, losses, liabilities, damages, costs, and expenses attributable to the warranty failure.

16. Limits of liability

To the maximum extent permitted by applicable law, Film Buddy and its owners, personnel, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, business, or goodwill, arising from the App or these Terms, even if advised that such damages were possible. Loss of data, photographs, edits, recipes, or use is excluded under this paragraph only to the extent it is a type of loss that may lawfully be excluded; otherwise it remains subject to the following cap where lawful.

To the maximum extent permitted by law, Film Buddy's total aggregate liability arising from or relating to the App or these Terms will not exceed the greater of (a) the amount you paid for Film Buddy's App or app-connected services during the 12 months before the event giving rise to the claim, including payments through an authorized storefront, or (b) US $100. The cap is aggregate and does not multiply by the number of claims, devices, accounts, or legal theories concerning the same liability.

No exclusion or cap applies to the extent liability cannot lawfully be excluded or limited, including applicable liability for fraud, willful misconduct, gross negligence, death, personal injury, infringement or misappropriation of third-party intellectual property, or non-waivable consumer rights. The limitations do not reduce any greater protection expressly required by a controlling third-party license or mandatory law. Applicable exceptions prevail over conflicting wording anywhere in these Terms.

17. Suspension, termination, and their effects

You may end your license by ceasing use and deleting your copies of the App. Separately request account deletion if you also want the account and its associated service data deleted. Keeping or ending an account does not change ownership of Your Content.

We may suspend or terminate access for a material breach, unlawful use, abuse, or a security threat, subject to required notice and an opportunity to cure where applicable law requires it. Where reasonably practicable, we will explain the restriction and how to contact us to contest an error. Urgent protective action may be taken before notice where justified and lawful.

We may end or change beta participation or retire an unsupported service or version for operational, security, compatibility, legal, or business reasons. Such action remains subject to existing purchase commitments, reasonable advance notice where appropriate, and mandatory consumer and data-access rights. These provisions do not authorize erasing your independently held photographs or other local files.

On termination, the affected license ends and you must stop using the affected software, except for any separately authorized recovery access or rights preserved by law or a separate license. Account suspension does not by itself disable the account-free iPhone tools. The practical Mac access consequences in Section 5 apply; retaining local files does not create a right to bypass access controls.

Ownership, permitted limited retention, amounts properly due, warranty and liability provisions, and dispute and general provisions survive to the extent their purpose requires. Separately licensed open-source rights survive under their own terms.

18. Export and legal compliance

You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as supporting terrorism, and that you are not on a U.S. government prohibited- or restricted-party list. Do not acquire, use, export, re-export, or transfer the App in violation of applicable export, sanctions, import, or other laws. Camera-specific geographic and end-use conditions in Section 10 apply in addition to these general requirements.

19. Changes to these Terms

We may propose changes when features, services, distribution, security needs, commercial arrangements, or law change. We will identify the new version and effective date, make the full terms available, and provide notice appropriate to the change. For material changes affecting existing users, we will give reasonable advance notice and obtain affirmative agreement where required. Where applicable law requires a durable notice, a particular notice period, a right to terminate, or another remedy, we will provide it.

Publication alone does not retroactively replace the terms previously applicable to you. For a materially revised version that requests agreement, the new terms apply to your affected use when you accept them on or after their stated effective date. Your earlier agreement governs earlier use and any continuing rights under it. App Store acquisition remains subject to the valid custom or standard agreement applicable to that transaction.

If you decline, you may be unable to start using the new version or changed service. We will explain that consequence and available options when requesting agreement. Declining does not transfer ownership of Your Content, waive a mandatory remedy, or retroactively change a paid license. This is not a promise that an old version or online service can be operated indefinitely; lawful retirement remains subject to Section 17 and any applicable notice, access, or remedy obligations.

Prior published versions remain available through the legal pages at filmbuddyapp.com/eula. A change to a separately versioned Privacy Policy or informational guide does not by itself amend this EULA. Optional marketing or device permissions remain separate choices.

20. Governing law and disputes

These Terms are governed by Ohio law, excluding its conflict-of-law rules. Disputes may be brought in the state courts in Greene County, Ohio, or the United States District Court for the Southern District of Ohio. This choice does not deprive a consumer of mandatory protections or a court available under the law of the consumer's habitual residence. You may contact hello@filmbuddyapp.com about a dispute; doing so is not a prerequisite that removes a right to pursue a lawful remedy.

These Terms do not require binding arbitration or waive class proceedings, jury rights, or small-claims access. Any restriction on those rights would require a separate, expressly agreed and legally valid provision.

21. Feedback and general provisions

If you voluntarily send product ideas or suggestions, you permit Film Buddy to use them to develop and improve its products without an obligation to pay you or adopt them. This permission does not transfer ownership of your photographs, source material, client work, or other pre-existing content, and does not override an express confidentiality agreement. Materials supplied solely for a support request remain subject to that purpose.

These Terms and any expressly applicable purchase terms are the agreement concerning their subject, subject to the separate licenses and mandatory rights described above. If a provision is unenforceable, it is limited or severed as applicable law permits, and the remaining provisions continue where lawful. Failure to enforce a provision is not a waiver of later enforcement.

You may assign these Terms only with our consent or as applicable law or Apple's rules permit. Film Buddy may transfer the agreement with a merger, reorganization, or transfer of the relevant business, subject to applicable notice requirements, privacy obligations, and consumer rights. A transfer does not reduce commitments owed to you under the agreement.

Except for Apple, Nikon to the extent stated, and beneficiaries expressly identified in a controlling component license, these Terms do not create third-party enforcement rights. This does not limit a person's rights under applicable law.
